1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("Customer," "you," or "your") and Contractorful.com, Inc. ("Contractorful," "we," "us," or "our"), concerning your access to and use of the https://www.contractorful.com website (the "Platform") and any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Services").

You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Platform from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Effective Date" of these Terms.

2. Platform and Services Overview

Contractorful is a technology platform that provides marketing, sales, and operations tools, including but not limited to, website builders, CRM functionality, communication services, and business process automation ("Contractorful Services"). The Platform is provided on a software-as-a-service (SaaS) basis.

2.1 License Grant

Subject to your compliance with these Terms, Contractorful grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Platform and Contractorful Services solely for your internal business purposes.

2.2 Customer Data

You retain all ownership rights in the data, information, and content that you submit to the Platform ("Customer Data"). You grant Contractorful a worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to use, reproduce, distribute, and display the Customer Data solely as necessary to provide the Contractorful Services to you.

2.3 Acceptable Use

You are solely responsible for all Customer Data and all activities that occur under your account. You agree not to use the Services to:

Violate any laws, third-party rights, or our policies (including the Contractorful Acceptable Use Policy).

Transmit unsolicited commercial email ("Spam"), bulk email, or email campaigns that violate the CAN-SPAM Act, TCPA, or any other anti-spam or privacy laws.

Upload or transmit any software or material that contains viruses, malicious code, or other harmful components.

Engage in any activity that interferes with or disrupts the integrity or performance of the Services.

3. User Accounts and Responsibilities

3.1 Account Creation

You may be required to register with the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

3.2 Sub-Accounts and Clients

The Platform may allow you to create or manage sub-accounts for your clients or customers ("Sub-Accounts"). You are responsible for ensuring that all users of your Sub-Accounts comply with these Terms. You acknowledge that Contractorful is not responsible for the relationship between you and your clients.

3.3 Third-Party Integrations

The Platform allows you to integrate with third-party products, services, or applications ("Third-Party Services"). Your use of any Third-Party Services is governed by the terms and conditions and privacy policies of the third-party providers. Contractorful does not endorse and is not responsible or liable for any aspect of the Third-Party Services.

4. Fees and Payment

4.1 Subscription Fees

You agree to pay the subscription fees and any other charges for the Services as set forth in your chosen subscription plan or as otherwise agreed in writing (the "Fees"). All Fees are non-refundable unless otherwise expressly stated.

4.2 Billing and Auto-Renewal

By subscribing, you authorize us to charge your payment method on a recurring basis (e.g., monthly or annually) for the Fees applicable to your subscription. Your subscription will automatically renew until you cancel it in accordance with our cancellation policy.

4.3 Taxes

All Fees are exclusive of any taxes, duties, or government assessments, which are your responsibility to pay.

5. Intellectual Property Rights

5.1 Our IP

The Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the "Content"), and the trademarks, service marks, and logos contained therein ("Marks"), are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. No part of the Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

5.2 Feedback

You agree that any suggestions, ideas, enhancement requests, feedback, recommendations, or other information related to the Services that you provide to us ("Feedback") may be used by us without any compensation or attribution to you.

6. Termination

These Terms shall remain in full force and effect while you use the Services. YOU MAY TERMINATE YOUR ACCOUNT AT ANY TIME BY FOLLOWING THE ACCOUNT CANCELLATION PROCESS WITHIN THE PLATFORM.

WE MAY TERMINATE YOUR USE OF THE SERVICES, IN OUR SOLE DISCRETION, AT ANY TIME, FOR ANY REASON OR NO REASON, INCLUDING FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS.

Upon termination, your right to use the Services will immediately cease. All provisions of the Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Disclaimers and Limitation of Liability

7.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE PLATFORM’S CONTENT.

7.2 Limitation of Liability

IN NO EVENT WILL CONTRACTORFUL OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

8. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your Customer Data; (2) your use of the Services; (3) breach of these Terms; (4) any breach of your representations and warranties set forth in these Terms; (5) your violation of the rights of a th¹ird party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Services with whom you connected via the Services.

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

9.2 Binding Arbitration

Any legal controversy or claim arising from or relating to these Terms, excluding legal action taken by Contractorful to seek equitable relief or to recover damages for, or obtain injunctions relating to, the Platform's operations or intellectual property, shall be settled solely by confidential, binding arbitration in the state of Delaware. The arbitration shall be conducted on an individual basis and not in a class, consolidated, or representative action.

10. Miscellaneous

These Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
